1. Acceptance of Terms

By accessing and using the services provided by gamllccompany ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your access to and use of our website, software development services, and related offerings. Your use of our services constitutes your acceptance of these Terms.

2. Description of Services

gamllccompany provides custom software development, consulting, cloud solutions, artificial intelligence services, cybersecurity, data analytics, and related technology services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

Our services are provided on a project basis, and specific terms, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work ("SOW") for each engagement.

3. User Responsibilities

You agree to:

• Provide accurate, current, and complete information when engaging our services
• Maintain the security of any credentials or access provided to you
• Use our services only for lawful purposes and in accordance with these Terms
• Not attempt to gain unauthorized access to our systems or networks
• Not interfere with or disrupt the integrity or performance of our services
• Comply with all applicable laws and regulations

4. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of gamllccompany or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

Unless otherwise specified in a written agreement, all custom software, code, and deliverables created specifically for you will be owned by you upon full payment. However, we retain the right to use general methodologies, frameworks, and non-proprietary components developed during the engagement.

You grant us a non-exclusive, royalty-free license to use your name, logo, and project information for marketing and portfolio purposes, unless otherwise agreed in writing.

5. Payment Terms

Payment terms will be specified in individual service agreements or SOWs. Generally:

• Invoices are due within the timeframe specified in the agreement (typically 30 days)
• Late payments may incur interest charges as specified in the agreement
• We reserve the right to suspend services for accounts with overdue payments
• All fees are non-refundable unless otherwise stated in writing

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes business plans, technical specifications, source code, trade secrets, and other sensitive information.

Confidentiality obligations will survive termination of these Terms and will continue for a period specified in the applicable service agreement, or if not specified, for a period of five (5) years.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, we make no warranties, express or implied, regarding:

• The uninterrupted or error-free operation of our services
• The accuracy, completeness, or reliability of any information provided
• That our services will meet your specific requirements or expectations
• That defects will be corrected or that our services are free of viruses or other harmful components

Our services are provided "as is" and "as available" without warranty of any kind, either express or implied.

8. Limitation of Liability

To the maximum extent permitted by law, gamllccompany shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like that may be transmitted through our services

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless gamllccompany, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

10. Termination

Either party may terminate a service agreement in accordance with the terms specified therein. We reserve the right to suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms or engage in any fraudulent, abusive, or illegal activity.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Kotayk, Armenia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
